This document is an official public offer by Individual Entrepreneur (ФОП) Knysh Alla Oleksandrivna (the "Provider") to enter into an agreement for access to the SubCloudy service on the terms below, in accordance with Articles 633, 641, 642 of the Civil Code of Ukraine. Placing and paying for a subscription on the website constitutes full and unconditional acceptance of this offer.
1. Definitions
Service — the SubCloudy online platform (subcloudy.com). User — a person who has accepted this offer. Subscription — the right to access AI models within the selected plan and token limit.
2. Subject of the agreement
2.1. The Provider gives the User access to third-party AI models (ChatGPT, Claude, Gemini, Grok, DeepSeek, image-generation tools, etc.) through a single dashboard on the Service's technical infrastructure using a token system.
2.2. The Service does not transfer third-party service credentials to the User and does not involve sharing of third-party accounts. The User receives their own account within the Service.
2.3. The scope of access is determined by the selected plan (monthly token limit and list of models) shown on the website at the time of subscription.
3. Registration and account
To use the Service, the User creates an account with accurate information and is responsible for keeping their credentials safe and for all actions under their account.
4. Prices and payment
4.1. Plan prices are listed on the website in US dollars (USD). The final amount and charge currency are shown on the secure payment page before you confirm. Your card-issuing bank may apply conversion to your card's currency at its own rate.
4.2. Payment is processed through secure payment systems. The Provider does not store the User's bank card data.
4.3. Trial. A trial subscription is offered for a nominal fee ($1) for a limited period.
4.4. Auto-renewal. If auto-renewal is enabled, the subscription renews automatically each month at the current plan price. The User can disable auto-renewal anytime in the dashboard; after disabling, access remains until the end of the paid period.
5. Activation and quality of access
5.1. Access is activated automatically within a few minutes of successful payment.
5.2. The Service is provided "as is". We strive to ensure stable access but do not guarantee uninterrupted operation of third-party models, as it depends on their providers.
6. Refunds
6.1. Access to AI models is digital content provided immediately after payment. By subscribing, the User consents to immediate provision of access and acknowledges that, under Art. 13(5) of the Law of Ukraine "On Consumer Protection", the right of withdrawal does not apply once provision of the service has begun.
6.2. Refunds are issued if access was not provided automatically after payment through the Provider's fault, and in case of erroneous or duplicate charges. Details are in the Refund Policy.
7. Intellectual property
All Service materials (design, texts, graphics, logos) are the property of the Provider or its licensors.
8. Limitation of liability
The Provider is not liable for losses arising from inability to use the Service, changes in third-party services, or temporary technical unavailability.
9. Personal data protection
Personal data is processed in accordance with the Law of Ukraine "On Personal Data Protection" and the Privacy Policy on the website.
10. Term and changes
The offer is open-ended. The Provider may amend it by publishing a new version on the website. Continued use of the Service means acceptance of the new version.
11. Governing law
This agreement is governed by the laws of Ukraine. Disputes are resolved in the competent courts of Ukraine.
